Terms of Service — Qorebook

These Terms of Service (“Terms”) form a binding legal agreement between you (and the organization you represent) and Qorebook (“we”, “us”, or “our”) and govern your access to and use of the Qorebook web application, Android application, and iOS application (collectively, the “Service”).
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. The Service
Qorebook is a multi-tenant business-management software platform that provides features for invoicing, point of sale, inventory tracking, expense logging, payroll inputs, and statutory accounting reports.
We reserve the right to enhance, modify, replace, or discontinue specific features, workflows, or functionalities of the Service over time. The Service is delivered on an “AS IS” and “AS AVAILABLE” basis.
2. Accounts and Eligibility
- Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) and fully capable and competent to enter into binding legal agreements.
- Account Accuracy: You agree to provide accurate, complete, and current registration details and to update such information promptly whenever it changes.
- Credential Security: You are strictly responsible for maintaining the confidentiality of your credentials and for all actions, transactions, and security occurrences under your account. Notify us immediately at info@qorebook.com of any unauthorized entry or suspected breach of security.
- Workspace Administration: Within an Organization workspace, designated workspace owners and administrators control team roles, permissions, data access levels, and member management.
3. Acceptable Use Policy
You agree to use the Service solely for legitimate business operations in compliance with applicable law. You shall not:
- Unlawful Activity: Violate any local, national, or international statute, privacy law, or intellectual property right.
- System Security Violations: Upload or transmit viruses, malware, trojans, logic bombs, or any malicious code designed to disrupt, disable, or harm system operational integrity.
- Software Exploitation: Reverse engineer, decompile, disassemble, copy, modify, resell, sublicense, lease, or create derivative works based on the Service without our prior written consent.
- Unauthorized Data Entry: Store, process, or transmit sensitive data, personal data, or trade secrets without holding the necessary lawful authority or consent from data subjects.
- Infrastructure Abuse: Impose an unreasonable or disproportionately heavy load on our infrastructure, execute automated scraping or vulnerability scanning, or interfere with other organizations’ operational performance.
4. Customer Data and Intellectual Property Rights
- Ownership of Data: As between you and us, you and your Organization retain all ownership, title, and intellectual property rights in and to all records, entries, files, and customer lists created or submitted by you (“Customer Data”).
- License Grant to Us: You grant us a worldwide, royalty-free, non-exclusive, limited license to host, copy, process, transmit, and display Customer Data solely as necessary to provide, maintain, secure, and support the Service.
- Privacy Compliance: Our collection, use, and disclosure of personal data are governed by our Privacy Policy, incorporated into these Terms by reference. You warrant that you have obtained all necessary consents and legal bases required under applicable privacy laws (such as GDPR and Ghana’s Data Protection Act, 2012) to input third-party personal data into the Service.
- Our Intellectual Property: We and our licensors retain all ownership, title, and intellectual property rights in and to the Service, including software code, visual design, user interfaces, branding, and trademarks. Any feedback or feature suggestions submitted by you may be implemented without royalty or obligation to you.
5. Plans, Pricing, and Billing Terms
- Subscription Tiers: The Service offers free plan tiers, trial offerings, and paid subscription plans. Free trials automatically transition into active paid subscriptions unless cancelled prior to trial expiration.
- Billing Cycles & Non-Refundability: Paid fees are billed in advance on a recurring monthly or annual billing cycle shown at checkout. All subscription fees are non-refundable except where explicitly required by law.
- Price & Plan Adjustments: We reserve the right to adjust subscription pricing or plan resource limits upon delivering at least 30 days’ advance written notice prior to your next renewal cycle.
- Payment Default: Failure to complete timely payments may result in temporary account suspension or automatic downgrade to free plan feature limits.
6. In-App Purchases and Mobile Store Terms
- App Store Billing: For subscriptions or add-ons purchased through Apple App Store In-App Purchases or Google Play Billing, payment management, renewals, and cancellations are handled directly by the respective store provider under their applicable terms of service.
- Cancellation Path: You can manage or cancel store-billed subscriptions at any time through your Apple ID Account Settings or Google Play Subscriptions menu.
7. Third-Party Services and Sub-Processors
The Service integrates with and relies upon third-party platforms, including Google Firebase, Google Sign-In, Apple Sign-In, Resend, and Sentry. Your use of federated sign-in or integrated features is subject to the respective third-party terms. We are not responsible for third-party infrastructure outages, service interruptions, or modifications beyond our reasonable control.
8. Professional Disclaimers and No Legal/Tax Advice
Qorebook provides enterprise productivity and bookkeeping tools. We do not provide certified accounting, financial auditing, tax advisory, or legal services.
All automated reports, balance sheets, tax calculations (including PAYE, VAT, and SSNIT deductions), and statutory summaries generated by the Service are provided for administrative convenience only. You are solely responsible for verifying all financial records, tax returns, and compliance calculations with a qualified professional accountant or tax adviser before submitting them to official regulatory authorities.
To the maximum extent permitted by applicable law, we disclaim all express, implied, or statutory warranties, including warranties of merchantability, fitness for a particular purpose, operational availability, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by applicable law, neither party shall be liable for any indirect, incidental, consequential, special, reliance, or punitive damages, or for lost profits, lost revenue, operational downtime, loss of data, loss of goodwill, or business interruption, regardless of the legal theory under which claims are asserted.
Our aggregate cumulative liability arising out of or relating to the Service shall not exceed the total subscription fees paid by you to us for the Service during the twelve (12) months immediately preceding the event giving rise to liability (or GHS 500 if you use only free plan tiers).
10. Indemnification
You agree to defend, indemnify, and hold harmless Qorebook, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and legal costs arising out of or in connection with: (a) your Customer Data; (b) your breach of these Terms; or (c) your violation of applicable laws or third-party rights.
11. Account Deletion, Suspension, and Termination
- Account Deletion: You may terminate your account and discontinue use of the Service at any time by navigating to Settings > Delete Account within the mobile or web app, or by submitting a request at https://qorebook.com/delete-account.
- Termination by Us: We reserve the right to suspend or terminate your account access immediately upon written notice in the event of material breach, prolonged non-payment, security risks, or compliance mandates.
- Survival of Terms: Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination — including data ownership, professional disclaimers, liability limits, indemnification, and governing law — shall survive indefinitely.
12. Governing Law and Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the laws of Ghana, without giving effect to conflict-of-law principles. The courts of Ghana shall hold exclusive jurisdiction over any legal dispute, claim, or litigation arising out of or in connection with these Terms or the Service.
13. Changes to These Terms
We may update these Terms from time to time. When material modifications occur, we will provide advance notice through in-app alerts or administrative emails. Your continued use of the Service following the effective date of updated Terms constitutes your full acceptance of the revised agreement.
